1. Scope of Services
- Apeiron will provide accounting, tax consulting, and related advisory services as agreed in the service contract or engagement letter.
- Services beyond the agreed scope will be subject to additional terms and fees.
2. Client Responsibilities
- The Client shall provide accurate, complete, and timely information and documentation required for service delivery.
- The Client is responsible for adhering to legal and regulatory requirements outside the scope of Apeiron’s services.
3. Confidentiality
- Apeiron will maintain the confidentiality of all client-provided information and ensure it is not disclosed to third parties without prior written consent, except as required by law.
- The Client agrees not to disclose Apeiron’s proprietary methodologies or materials to third parties.
4. Payment Terms
- Payments shall be made as per the agreed fee structure outlined in the engagement letter.
- Late payments may attract interest at the rate specified in the service agreement.
- Apeiron reserves the right to suspend services in the event of non-payment.
5. Liability
- Apeiron shall not be held liable for any indirect, incidental, or consequential damages resulting from the use of its services.
- The total liability of Apeiron, including claims for negligence, shall not exceed the fees paid for the specific service giving rise to the claim.
6. Termination
- Either party may terminate the agreement by providing a 30-day written notice.
- Apeiron reserves the right to terminate services immediately in case of non-compliance with terms or unethical conduct by the Client.
- Upon termination, all outstanding fees for services rendered shall become immediately payable.
7. Governing Law
- These terms shall be governed and construed in accordance with the laws of the United Arab Emirates.
- Any disputes will be subject to the jurisdiction of the UAE courts.
8. Amendments
- Apeiron reserves the right to amend these terms and conditions at any time.
- Clients will be notified of any changes, and continued use of services will imply acceptance of the revised terms.
9. Dispute Resolution
- In the event of a dispute, both parties agree to attempt resolution through negotiation and mediation.
- If mediation fails, disputes shall be resolved through arbitration in accordance with UAE laws.
